The Companies Act 2014
The Companies Act 2014 was enacted on the 23 December 2014 and commenced the 1st June 2015. The Act consolidates the existing Irish Companies Acts and many of the related statutory instruments into a single statute while simultaneously introducing significant reforms to Irish company law.
The Companies Act 2014 included significant changes in the requirements regarding corporate governance, particularly around:
- Directors’ duties
- Directors’ compliance statement
- The audit committee
- Summary approval procedures
- The ability of certain companies to dispense with the requirement to hold an annual general meeting.
